The Trustee-Manager arranges and provides continuous professional development (“CPD”) training and relevant reading materials to
Directors to help ensure that they are apprised of the latest changes in the commercial, legal and regulatory environment in which the
Group conducts its business and to refresh their knowledge and skills on the roles, functions and duties of a listed entity director. In addition,
attendance at external forums and briefing sessions (including delivery of speeches) on relevant topics also counts towards CPD training.
The Directors are required to provide the Trustee-Manager with details of the CPD training undertaken by them from time to
time. Based on the details so provided, the CPD training undertaken by the Directors in 2015 is summarised as follows:

Board Composition and Guidance
Principle 2
As at 31 December 2015, the Board comprised nine Directors, of whom five are independent and non-executive.
During the year, Prof. Ma Si Hang, Frederick resigned as an Independent Non-executive Director and Mr. Wong Kwai Lam was
appointed as an Independent Non-executive Director with effect from 2 December 2015.
Mr. Wong is an experienced banker who possesses in-depth knowledge and expertise in accounting, banking and finance,
both locally and overseas, and he satisfies the independent requirements under the BTR.
The Board is of the view that the qualification, expertise and experience of Mr. Wong would complement the existing Board.
It believes that the appointment of Mr. Wong would bring a perspective of significant benefit to the Group.
